Wrong. XHTML is a "rephrasing" of HTML in XML. HTML 4.01 *Strict* would be enough. XHTML has the advantage that one could include XML islands (like MathML or SVG) within the document without referencing the outer world. XHTML ist not HTML in the usual sense. After all, it's MIME-type is application/xhtml, not text/xhtml...
